Terms of Service

1. Service Agreement

Raining Clips provides video clipping and social media distribution services on a month-to-month basis. No long-term contracts are required. Services begin after email agreement and signed contract.

2. Performance-Based Billing

Fees are performance-based starting at $1.50 per 1,000 verified views across all platforms. Specific rates are determined based on content type, goals, and scope. Each clip is billed only once - after initial payment, no additional charges apply regardless of future view accumulation.

View Definition: Views are counted using each platform's native definition (e.g., TikTok: 3+ seconds, Instagram Reels: 3+ seconds, YouTube Shorts: platform standard). Only verified, platform-reported views are counted.

Billing Schedule: Invoices are sent weekly for clips that have accumulated views. Each clip is charged only once based on its performance - no recurring charges for the same clip.

3. Content Ownership

Client retains full ownership of all original content and created clips. Raining Clips claims no ownership rights to client content, social media accounts, or derivative clips created from client material.

Client grants Raining Clips limited license to edit, modify, and distribute content solely for the purpose of providing agreed-upon services during the active service period.

4. Service Termination

Either party may terminate services with 7 days written notice. Upon termination, Raining Clips will complete any clips in production and post any pre-approved content.

Client will be billed only for views generated during the active service period. No cancellation fees or penalties apply.

5. Service Guarantees

While we strive for optimal performance, Raining Clips cannot guarantee specific view counts, engagement rates, or follower growth. Social media performance depends on many factors beyond our control.

We guarantee transparent reporting, timely delivery of clips, and professional service quality. Any billing disputes will be resolved fairly with platform analytics verification.

Clients receive access to a performance dashboard to track clips with 100k+ views and monitor detailed analytics across all platforms.

6. Limitation of Liability

Raining Clips' liability is limited to the amount paid by client in the 30 days preceding any claim. We are not liable for indirect, incidental, or consequential damages.

Client is responsible for compliance with platform terms of service and applicable laws. Raining Clips is not liable for platform policy violations or account suspensions.
